<p>Affiliated Computer Services (ACS), A Xerox Company  , today announced a definitive agreement to acquire ExcellerateHRO, LLP (EHRO), a global benefits administration and relocation services provider, from Hewlett-Packard Company. The transaction is expected to close following the conclusion of the customary closing conditions.</p>
<p>The purchase of EHRO establishes ACS as one of the world&#8217;s single largest pension administrators and solidifies its role as a leading provider of outsourced health &amp; welfare and relocation services. EHRO&#8217;s client list includes a broad selection of FORTUNE 500 clients and growing mid-market customers, who are served by more than 1,800 human resources specialists.</p>
<p>&#8220;This acquisition clearly demonstrates Xerox&#8217;s commitment to invest in human resources services that will ultimately benefit all our clients,&#8221; said Ann Vezina, ACS executive vice president and group president, ACS Human Resource Services. &#8220;This acquisition, coupled with our increasing investments in new products and services, broadens ACS&#8217; customer base, strengthens our capabilities and consistency to an expanding sector.&#8221;</p>
<p>The acquisition complements ACS&#8217; $50 million investment in client-focused innovations in its human resource services business in the past 18 months and builds upon its ability to provide specific solutions to clients&#8217; needs, particularly in the employee benefits sector, such as pensions and 401(k) plans. The ExcellerateHRO transaction will also be the first acquisition by ACS since it was acquired by Xerox in February 2010, providing ACS with a broader global footprint as well as access to Xerox&#8217;s extensive research and development capabilities.</p>
<p>Rohail Khan, executive managing director, ACS, said the acquisition of EHRO broadens ACS access to new industries and markets, allowing the company to introduce its proprietary technology platform and business processes to an expanding marketplace.</p>

<h5><em>CSC fails to secure BEE lifeline<br />

<p> Questions about the sustainability of ailing IT services outsourcing group Computer Sciences Corporation (CSC) in SA have again been raised.</p>
<p>This follows the collapse of a potential black economic empowerment (BEE) deal, which would have been a vital lifeline for the company.</p>
<p>This week, ITWeb received a tip-off from a former CSC employee, who claims his services, as well as that of several other employees, had been terminated as a result of the deal&#8217;s collapse.</p>
<p>CSC previously stated it was searching for potential BEE partnerships to secure public sector contracts to offset the loss of its biggest outsourcing contract. Project Rosa was a R1.8 billion contract with Old Mutual and was awarded to T-Systems about a year ago.</p>

<h5><em>Layoffs at Satyam set to begin with BPO unit</em></h5>

<p>Tech Mahindra, after gaining control over the troubled IT major Satyam Computer Services, seems to be getting straight to business.<br />
The company intends to downsize operations beginning with the business process outsourcing arm Satyam BPO (formerly called Nipuna).<br />
Sources in the company said the layoffs will begin with the support department. &#8220;The billable staff is not going to be disturbed now. It is the support staff that is likely to exit,&#8221; the source said.<br />
Satyam BPO has over 3,000 associates and the ratio of billable staff and the support staff is about 35:1. &#8220;The target is to make it 80:1. This means a major shake-up in the BPO arm,&#8221; the source said.<br />
About 60% of the support staff face the axe.</p>

<p>Outsourcer Affiliated Computer (NYSE: ACS) Services is aggressively building out its offshore operations in an effort to tap low-cost talent and keep pace with overseas rivals. Ultimately, the Dallas company wants about one-half of its workforce in foreign locations, a senior company executive said in an interview Wednesday.<br />
• &#8220;We&#8217;re letting our customers drive this,&#8221; said ACS executive VP Ann Vezina, who is also president of the company&#8217;s Commercial Solutions Group.<br />

Vezina also said ACS is in talks to acquire IT and business shared-services units from companies that are looking to farm out activities unrelated to their core lines of business. &#8220;People are looking to pare down noncore assets in this economy,&#8221; said Vezina. She added that talks include negotiations with a major European media and entertainment company.<br />
Vezina said offshore resources allow ACS to offer customers lower prices for IT work and business services. They also help the company remain cost-competitive with burgeoning Indian rivals such as Wipro, TCS, and Infosys. Currently, ACS maintains an onshore-offshore employee mix of about 70% to 30%, respectively.</p>

<h5><em>Integreon Hires Veteran eDiscovery Experts Babs Deacon and Foster Gibbons</em></h5>

<p>Integreon, the global leader of Knowledge Process Outsourcing (KPO), today announced it has hired Babs Deacon and Foster Gibbons as Directors responsible for the company’s e-Discovery Consulting and Data Analytics, and Global Document Review Services groups, respectively. They join Integreon’s $40-million e-discovery business and will help litigation teams reduce total discovery costs.<br />
Ms. Deacon has more than 20 years of e-discovery and litigation support experience. Prior to joining Integreon, she was a senior data analytics consultant for SPi Legal, a business process outsourcing services provider.<br />
Previously, Ms. Deacon was a senior manager at Baker Robbins &amp; Company, a technology consulting firm, where she managed the World Trade Center Unit project for the City of New York’s Law Department. Ms. Deacon was responsible for the project’s litigation support procedures and databases. She previously was a litigation support professional for several major law firms including Anderson Kill &amp; Olick.</p>
<p>Mr. Gibbons joins Integreon from Pfizer, Inc. where he was corporate counsel and legal lead of its Discovery Response Team (DRT). At Pfizer, Mr. Gibbons designed and executed innovative e-discovery initiatives, serving as a liaison between in-house and outside counsel regarding all elements of the e-discovery process. Before joining Pfizer, Mr. Gibbons represented Pfizer on complex pre-trial discovery projects while working for Kaye Scholer LLP. Earlier, he served as a consultant to RBC Dominion Securities. He began his legal career as a litigation associate at Chadbourne &amp; Parke, LLP.<br />
“The addition of Babs and Foster enhances our end-to-end litigation support service with enhanced expertise to reduce data processing prior to review and subsequently enable a more efficient document review process,” said Chris Egan, senior vice president, Integrated Discovery Services, Integreon. “Over the past 12 months our presence in this market has grown substantially. <p>This year could be one of the toughest in Applied Materials&#8217; 42-year history. The provider of nanomanufacturing technology solutions posted a US$133 million loss in the first quarter; new orders fell 64 percent from last year&#8217;s first quarter. Even the brightest spot on the horizon-its new business to produce equipment for solar photovoltaics and energy efficient glass-has seen a temporary demand slump due to the recession. &#8220;We were facing the worst semiconductor downturn in history, and then the global recession hit,&#8221; says . &#8220;Those things are beyond our control, so we are focused on what we can control. And 80 percent of that is costs.&#8221; Kifer knows: He was hired in 2006 to transform IT, reduce costs, improve service levels, and drive business transformation. He took a workforce of 580 full-timers and 1,000 consultants at 40 service providers and whittled it to 300 full-time workers and contracts with three providers to handle offshore IT services at prearranged prices, instead of by the man-hours. He cut by 35 percent over two years.</p>
<p>&#8220;We didn&#8217;t want internal resources focused on commodity activities. We wanted to refocus them on core competencies that drive value,&#8221; he says. He inked deals with IBM Global Services, Tata Consultancy Services and Wipro, which compete to provide services including application development, maintenance, desktop and database support. His own staff focused on strategy, architecture, cost management and program, portfolio, security, risk and vendor management. The plan eliminated expenses and improved services, making more IT budget reductions a delicate balancing act.</p>

&#8211; Revenues of $101.3 million were up 0.8 percent from $100.6 million in the prior year.<br />
&#8211; Enterprise revenues increased $2.6 million, or 37 percent. &#8212; Wireless revenues increased $2.1 million, or 6 percent.<br />
&#8211; Retail wireline revenues declined by $1.2 million, driven in large part by declines in non-recurring CPE sales.<br />
&#8211; Wholesale and network access revenues declined by $2.7 million with the current quarter benefiting from $1.4 million in out-of-period network access compared to $3.3 million in 2007.<br />
&#8211;EBITDA of $35.3 million, exclusive of $1.4 million in start-up costs for our long haul fiber investments, was down from prior year EBITDA of $37.3 million. The decline is equal to lower out-of-period network access revenue.<br />

<p>IT workers and managers who believe their jobs are at too high a level to be sent overseas may want to look at Affiliated Computer Services Inc.&#8217;s plan to boost its offshore outsourcing operations by moving &#8220;more complex, higher paying&#8221; jobs to countries outside the U.S.</p>
<p>Dallas-based ACS, which provides IT and business process outsourcing services to a wide range of corporate and government clients, currently employs about 63,000 people, 20,000 of them in low-cost offshore locations. But in a conference call last Thursday on its financial results for the quarter that ended Sept. 30, ACS detailed plans to increase the number of employees working offshore by 4,200 during its current fiscal year, which began July. <p>&#8220;To have a greater financial impact, we will be moving a higher percentage of more complex, higher paying jobs offshore, including management and application development roles,&#8221; ACS President and CEO Lynn Blodgett said during the call.</p>
<p>ACS has been gradually shifting jobs to offshore and near-shore centers in the Philippines, Mexico, Jamaica, Guatemala and India. In its 2006 fiscal year, just under 25% of the company&#8217;s workforce was based outside of the U.S. Now, nearly 35% of its workers are overseas, according to a presentation used by ACS officials during the conference call (download PDF — see slide 14).</p>
<p>Tom Burlin, chief operating officer at ACS, filled in some of the details about the jobs that will be affected by the additional offshore moves. &#8220;We&#8217;ve done a great job in moving base production-level jobs offshore but have decided,&#8221; he said, &#8220;to aggressively move more of our higher-level jobs, like production managers, higher-level back-office functions and higher-level development roles, to lower-cost locations.&#8221;</p>
<p>The company said the expected savings from offshoring will give ACS more money to invest in areas such as sales, innovation and development of new products. &#8220;This is the right thing to do and the right time to do it,&#8221; Blodgett said. &#8220;This investment will make us stronger, not only during this economic storm, but for years to come.&#8221;</p>
<p>&#8220;High-level jobs are just as vulnerable [to offshoring] as mid- and low-level jobs,&#8221; said Ron Hira, an assistant professor of public policy at the Rochester Institute of Technology and co-author of the book Outsourcing America. Every IT services firm, big or small, is shifting more advanced technology jobs offshore, Hira said.</p>
<p>&#8220;For U.S. IT workers, look out: You&#8217;re not going to be safe,&#8221; he added. &#8220;The Wall Street analysts will be pushing companies even more to accelerate their offshoring projects. This is just the beginning of a shift of technological capabilities to low-cost countries.&#8221; The relocation of jobs, Hira claimed, is being &#8220;aided and abetted by horrible U.S. public policies that subsidize these shifts.&#8221;</p>
<p>An ACS spokesman said it&#8217;s too early to know whether the company&#8217;s new offshoring moves will lead to layoffs of U.S. workers. The IT services firm&#8217;s business continues to expand, he pointed out. But slide 19 of the conference call presentation shows that ACS is estimating $38 million to $42 million in &#8220;severance/transition transition&#8221; expenses as a result of the increased offshore activity, with as much as $25 million of that total expected to come during the company&#8217;s ongoing second fiscal quarter.</p>
<p>ACS, which reported $6.16 billion in revenue for its 2008 fiscal year, does a significant amount of IT work for government agencies: about 40% of its business comes from government contracts. But most of the offshore work is being done for corporate clients, according to the ACS spokesman. The company has more flexibility to move corporate work offshore than government contracts often allow, he said.</p>
<p>In a separate move, pharmaceutical maker Pfizer Inc. detailed cost-reduction strategies in an earnings call last month and said it had &#8220;a wide array of outsourcing opportunities in various stages of implementation.&#8221; That included projects within its manufacturing, logistics, finance, facilities, legal and IT departments, according to a transcript of the call posted on the Seeking Alpha site.</p>
<p>Citing unidentified sources, The Day, a newspaper in New London, Conn., today reported that over the past few months, Pfizer has been training foreign workers at facilities in New London and Groton, Conn., in preparation for transferring much of its IT work from locally employed contractors to outside firms.</p>
<p>A Pfizer spokeswoman said the company wouldn&#8217;t comment about the Day&#8217;s story. In regard to Pfizer&#8217;s use of contract workers, the company said via e-mail that the number of its temporary workers &#8220;ebbs and flows.&#8221; For instance, Pfizer said that on an average day, it has 800 to 1,000 contract workers at its sites in Groton and New London, in addition to the 5,400 company employees there. The contractors provide services &#8220;ranging from janitorial and cafeteria services to clerical and technical work,&#8221; Pfizer said.</p>

<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Experts say there is growing buzz that an unnamed private equity firm will soon make a pitch for the Dallas-based outsourcing company. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Ben Trowbridge, chief executive of Dallas-based Alsbridge Inc., which advises companies on how to pick outsourcing partners such as ACS, said he has spoken with an employee at the private equity firm who said the firm is preparing an offer for one of the big U.S. outsourcing companies. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Based on what he heard, Mr. Trowbridge calculated that ACS is the most likely candidate. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;I know they&#8217;re working on it,&#8221; Mr. Trowbridge said. &#8220;They were taking a deal to their finance committee right after the Fourth of July. After it goes to their finance committee, they [will] announce something.&#8221; </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Alsbridge&#8217;s nonexecutive chairman is Morton Meyerson, who previously headed the other two local outsourcing giants, Perot Systems Corp. and Electronic Data Systems Inc. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">EDS is in the process of being bought by Hewlett-Packard Inc. for $13.9 billion, a deal that some experts predicted might kick off a wave of consolidation in the industry. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Peter Bendor-Samuel, founder of Everest Group, another <st1:city w:st="on"><st1:place w:st="on">Dallas</st1:place></st1:city> outsourcing consulting company, said he has heard the same reports Mr. Trowbridge has. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;I hear these rumors fairly consistently,&#8221; he said. &#8220;Certainly private equity is interested in ACS. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;I had heard through back channels that another [offer] was being made.&#8221; </font></p>

<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">But Mr. Bendor-Samuel noted that other previously rumored offers have never come to fruition. </font></p>

<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">ACS went through an acrimonious buyout negotiation last year with another private equity firm, Cerberus Capital Management, and ACS&#8217;s founder, Darwin Deason. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">After that $6.2 billion deal fell apart and ACS&#8217;s board resigned, the company said it was ready to forge ahead as a stand-alone, publicly held entity, a stance it reiterated when asked about the new buyout rumors. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;Our position is unchanged,&#8221; spokesman Kevin Lightfoot said. &#8220;We&#8217;re operating as a public company. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;Having said that, anything further, we don&#8217;t comment on market rumors.&#8221; </font></p>

<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">Mr. Bendor-Samuel said ACS needs to either be bought or make some big purchases of its own if it wants to reignite its stock. </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">&#8220;In some respects, ACS faces a very similar issue that EDS did,&#8221; he said. &#8220;They&#8217;ve gone through fast growth, and they&#8217;re now of the size where achieving that growth is going to be more difficult.&#8221; </font></p>
<p><o:p><font face="Times New Roman"> </font></o:p></p>
<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">But, he said, any private equity firm making a bid for ACS will have to win the support of Mr. Deason, who still controls a substantial portion of the company&#8217;s shares. </font></p>

<p style="margin: 0in 0in 0pt" class="MsoNormal"><font face="Times New Roman">If a private equity company buys ACS, Mr. Trowbridge said, that firm might also eventually purchase another outsourcing company, such as Computer Sciences Corp., which has substantial operations in the <st1:city w:st="on"><st1:place w:st="on">Dallas</st1:place></st1:city> area. </font></p>

<p>Dallas-based ACS (NYSE: ACS) said it will fund the transaction with cash and borrowings under its existing credit facility. The acquisition is expected to close in May, subject to customary conditions.</p>
<p>The new business will be known as ACS CompIQ and will continue to be managed by CompIQ&#8217;s existing executive team. It will add about 130 employees to ACS operations.</p>
<p>Irvine, Calif.-based CompIQ, founded in 1997, provides medical bill review and cost-containment services for the workers&#8217; compensation, group health and liability insurance industries. CompIQ had revenue of $17 million during the 12-month period ended March 31.</p>

Affiliated Computer Services Inc. has signed a five-year $25 million contract to operate an intersection safety camera program for the city of Winnipeg, Canada.</p>
<p>The Dallas-based company said the deal also includes with options for future years.</p>
<p>ACS (NYSE: ACS) has operated Winnepeg&#8217;s camera program, which monitors cars that run red lights and speed through intersections, since 2003. ACS processes violations, generates and mails notices, maintains all camera equipment and produces program reports. The new contract also allows for the introduction of digital technology.</p>
<p>ACS said the most recent deal marks its fifth new contract in the past 18 months for public safety photo enforcement programs in Canada. It has also won five contract renewals during the time period. In addition to Winnipeg, ACS has received competitively rebid contracts with the Alberta cities of Fort McMurray, Red Deer, St. Albert and Strathcona County, as well as with Regina, Saskatchewan. Renewed contracts have been awarded by Camrose, Alberta, and in Ontario with Hamilton, Ottawa, Region of Peel and Toronto.</p>
<p>Separately, ACS said it has completed its acquisition of Sds Business Services GmbH, a information technology services provider in Germany, Waterland Private Equity Investments. The company said it funded the transaction with cash on hand. Financial details were not provided.</p>

Affiliated Computer Services Inc. has signed a seven-year, $41 million contract to provide information technology outsourcing services to Parkland Health &amp; Hospital System.</p>
<p>Dallas-based ACS (NYSE: ACS) will provide infrastructure services, including data center operations, network monitoring and management, asset tracking and help desk support services.</p>
<p>ACS also will install a disaster recovery system that will securely store critical Parkland clinical data online.</p>
<p>Parkland is one of the largest public hospital systems in the country. The Dallas hospital is licensed for 968 beds, employs 8,000 people and admits about 42,600 patients a year. It has a Level I trauma center, the second largest civilian burn center in the United States and a Level III neonatal intensive care unit. The system also includes 10 community-based clinics and 11 school-based clinics.</p>

Since 2002, SmartPA has helped contribute more than $85 million in program savings annually in Missouri.</p>
<p>ACS has also provided MO HealthNet with Retrospective Drug Utilization review and academic detailing programs that have enabled the state to save more than $10 million. In 2002, ACS introduced the Get Well program, a disease management program, which helped the state save more than $7 million.</p>
